HOA Transition 

 

Through mediation, the framework for an agreement has been reached. Terms of the agreement are strictly confidential until the Court has reviewed and approved it. To better understand next steps, it may be helpfulto review prior Court actions that guide the process.

 

  • April 27, 2021:  The Court ruled that Deerfield Resort transition from a developer-directed to a homeowner-directed HOA.                Link to Court Order

  • May 12, 2021:  A Court Receiver was appointed to facilitate the transition process.                                                                                 Link to Court Order

  • July 29, 2021:  The Receiver was established as the Registered Agent with the Tennessee Secretary of State, meaning that he will review and approve actions to be taken by the HOA.   Link to Secretary of State screen capture

 

Election Information

 

The mediation agreement is a first step in reaching closure on this lawsuit. However, there is still much to be done. Prior to initiating the Board of Directors election process, a number of matters will be coordinated through the Court and Receiver, including: 

 

  • the review and approval of the By-Laws, Covenants, Conditions and Restrictions (CCRs), and the eligible member (homeowner) voters list.

 

Following the Court’s approval of the above-mentioned items, the Receiver will establish the process for the Board of Directors election and communicate the process with Deerfield Resort property owners. The timeline will likely include the following steps but will ultimately be determined by the Receiver.

 

  1. Initial contact will be made with all property owners to inform them of the election and its timeline and process, while providing nomination guidelines, requirements, and forms. 

 

  1. After receipt and review of nomination materials, the Receiver will send out a slate of candidates (with bios) and notify property owners as to the voting timeline and process. 

 

  1. Election Buddy (an independent third-party online voting company) will conduct the on-line electionand tabulate the results.  (www.electionbuddy.com )

 

More definitive information regarding the process and dates will likely be communicated with property owners through the Receiver.
